License agreement.

This end-user license agreement (EULA) covers your use of the Nokta Notes desktop application for Windows and Linux. It's written to be read, not just scrolled past.

1. The agreement

This agreement is between you and BadgerSoft, registered in the Netherlands (KvK 86876139). By installing or using Nokta Notes, you agree to these terms. If you don't agree, don't use the app.

2. Your license

Free. You receive a non-exclusive, non-transferable license to use Nokta Notes free of charge, with the limitations of the free tier (currently a maximum of 8 notes).

Pro. When you purchase a Pro license, you receive a perpetual, non-exclusive, non-transferable license for your personal use. You may install and activate the app on the devices you personally use. Your license includes future updates to Nokta Notes.

The software is licensed, not sold. BadgerSoft retains all rights to the application not expressly granted here.

3. What you may not do

  • Share, resell, or publish your license key.
  • Circumvent the license checks or the free-tier note limit.
  • Reverse-engineer, decompile, or modify the application, except to the extent that applicable law expressly permits it.
  • Redistribute the application, modified or not, as your own product.

4. Your content

Everything you write in Nokta Notes is yours. BadgerSoft claims no rights to your notes and — since the app is local-first and we operate no servers that receive them — never has access to them.

Because your notes are stored only on your own device, you are responsible for backing them up. BadgerSoft cannot recover data that exists only on your machine.

5. Third-party services

Some features send data to services you configure yourself: publishing workflows (GitHub, webhooks) and the local MCP server that connected AI clients can talk to. Your use of those services is governed by their own terms. BadgerSoft is not a party to what you publish or share through them.

6. Warranty and liability

Nokta Notes is provided "as is", without warranties of any kind, to the extent permitted by law. We work hard to make it reliable, but we cannot promise it is free of defects.

To the extent permitted by law, BadgerSoft's total liability under this agreement is limited to the amount you paid for your license. Nothing in this agreement limits liability that cannot be limited under applicable law (such as liability for intent or gross negligence), and nothing in it reduces the statutory rights you have as a consumer.

7. Termination

This license ends automatically if you materially breach these terms — in particular section 3. You may end it at any time by uninstalling the app. Sections 4, 6, and 8 survive termination.

8. Governing law

This agreement is governed by Dutch law. If you are a consumer in the European Union, you also keep the protection of the mandatory consumer laws of your own country.
