1. The agreement
This End-User License Agreement ("EULA") is an agreement between you and BadgerSoft, registered in the Netherlands (KvK 86876139), covering your use of Nokta Notes ("the software").
By installing or using the software, you agree to these terms. If you don't agree, don't use the software.
2. Your license
BadgerSoft grants you a non-exclusive, non-transferable license to use the software on the devices you personally use. This grant covers both platforms, the free Linux build included — free software is still licensed software, and the terms below apply either way.
BadgerSoft issues nothing and verifies nothing. There are no license keys, no activation, and no account with BadgerSoft. Nor are there feature limits or usage caps: there is one edition, and it is the complete one.
Windows. Your entitlement is held by the Microsoft Store, tied to the Microsoft account you buy with, and governed by the Microsoft Store Standard Application License Terms — including how many devices you may install on. Before buying, you can use the software in full, free of charge, for 30 days. The Store enforces that trial, not the software itself: once it expires, the software will not start until you purchase it. If your entitlement ends — after a refund, for example — your access ends with it.
Linux. There is nothing to buy, activate, or sign in to. The build on GitHub is free and complete, it checks no entitlement, and your right to use it rests on this EULA alone.
Your license does not expire and is not a subscription. Updates within the same major version (1.x) are included at no extra cost — through the Store on Windows, as new releases on GitHub for Linux. Beyond that, updates are released at BadgerSoft's discretion: nothing here obliges us to keep developing the software, and a future major version may be offered as a separate product with its own price.
The software is licensed, not sold. All rights not expressly granted here remain with BadgerSoft.
3. Purchases through the Microsoft Store
If you acquire the software through the Microsoft Store, the purchase, payment, and any refund are handled by Microsoft. Microsoft's terms and refund policy apply to that transaction, alongside the Microsoft Store Standard Application License Terms. Refund requests go to Microsoft, not to BadgerSoft.
Where the Microsoft Store terms conflict with this EULA, Microsoft's terms govern how you acquire the software; this EULA governs your use of it.
4. What you may not do
You may not:
- redistribute, resell, or offer the software as your own product;
- circumvent the Microsoft Store's trial period or purchase verification;
- reverse-engineer, decompile, or disassemble the software, except to the extent that mandatory law permits — including the right to decompile for interoperability purposes under Directive 2009/24/EC.
5. Your content
Everything you write in Nokta Notes is yours. BadgerSoft claims no rights to your notes.
The software runs locally: your notes stay on your own device and BadgerSoft has no access to them. That also means backups are your responsibility. BadgerSoft cannot recover notes you lose.
6. Third-party services
The software can connect to services that you configure yourself, and only when you set them up:
- Publish workflows send note content to the destination you configure, such as a GitHub repository or a webhook.
- The built-in MCP server exposes notes to AI clients that you connect. What such an AI provider does with the content you share is governed by that provider's own terms and privacy policy, not by this EULA.
BadgerSoft is not a party to your relationship with those services and is not responsible for their terms, availability, or conduct.
7. Warranty and liability
The software is provided "as is", without warranties of any kind, to the extent permitted by law.
BadgerSoft's liability is limited to the amount you paid for the software. These limitations do not apply to liability that cannot be excluded or limited under mandatory law, including liability for intent, willful recklessness, or death or personal injury.
If you are a consumer, nothing in this agreement affects your statutory rights, including your rights in respect of a defective product.
8. Termination
This license terminates automatically if you materially breach section 4, or when you uninstall the software. On termination you must stop using the software and delete all copies.
9. Governing law
Dutch law governs this agreement. If you are a consumer in a European Union member state, you keep the protection of the mandatory consumer law of the country where you live.
